These Terms and Conditions ("Terms") are a legally binding agreement between you and Joesons ("we", "us", or "our"). By creating a Joesons account, continuing with Google, placing orders, or clicking to agree, you accept these Terms and our Member Privacy Policy. If you do not agree, do not use the Joesons mobile application. 1. THE SERVICE Joesons is a mobile application for shopping, orders, and an optional creator program. Goods listed in Joesons are sold by Joesons. We are not a bank, lender, or payment institution. Features may be enabled or disabled; availability does not guarantee a feature will remain enabled. 2. WHO MAY USE JOESONS You must be at least 18 years old and capable of entering a binding contract. You must provide accurate account information and keep it current. Email-and-password signup asks for your name, email address, contact number, and a password of at least 8 characters. Google signup uses the name and verified email Google provides. Account types for these Terms: - Members who browse Joesons, place orders, and may apply as creators. - Creators (affiliates) who are members with an affiliate profile. You are responsible for your credentials and for activity under your account. Notify us promptly if you suspect unauthorized access. 3. PRODUCTS AND ORDERS Joesons is the merchant of record for purchases in the app and is responsible for product descriptions, pricing, stock, delivery, customer service, refunds, replacements, statutory consumer rights, taxes applicable to the sale, and checkout payment options (cash on delivery and wallet or bank QR transfer). Members may place orders using the enabled payment methods. Cash on delivery (COD). Payment is collected on delivery. Completing a COD order in Joesons records that the order was treated as paid. QR transfer. You upload a payment proof for review. You may choose an image from your photo library for that proof. We use the image only as the proof you submit. Stock may be reserved for a limited period (typically 48 hours) until the proof is approved, rejected, the order is cancelled, or the reservation expires. Delivery addresses, landmarks, recipient names, and notes you submit must be accurate. You must not place orders using another person's details without permission. Listing a product does not guarantee that every order will be accepted, fulfilled, or refunded. 4. AFFILIATE AND CREATOR PROGRAM Where the creator program is enabled, members may apply as creators, and Joesons may invite existing members. Creators agree that: - participation is subject to the program settings and any additional terms Joesons requires; - commission rates may be set at program, product, or affiliation level and are snapshotted when an eligible order is placed; - attribution typically uses last-click within the attribution window (default 7 days), using a device identifier and, when available, the signed-in buyer account; - self-purchases and ineligible clicks do not earn commission; - commissions may be pending, validated, voided (for example if the order is cancelled), or paid; - payouts are recorded in Joesons (for example GCash, Maya, or bank transfer). Joesons pays validated commissions through those methods. The app does not hold creator funds as a bank or e-wallet. Creators must not misrepresent products, use spam or deceptive links, or bid on Joesons brand terms without permission. Public affiliate links may continue to resolve after a program is paused; commissionability may still be turned off. 5. FEES FOR GOODS Customer payments for goods are made to Joesons (cash on delivery or the Joesons QR account), unless a separate payments feature using an external gateway is enabled. Prices are typically in Philippine Pesos (PHP) unless we state otherwise. 6. ACCEPTABLE USE You must not: - violate law, including consumer, advertising, tax, anti-money-laundering, or data-protection rules; - upload malware, scrape the Service beyond documented APIs, access data you are not authorized to see, or circumvent access controls; - impersonate others, create accounts by automated means, or share login credentials; - interfere with rate limits, attribution, stock reservations, or payment-proof review; - post or store content that is unlawful, infringing, or that you do not have rights to use; - use Joesons to send unsolicited bulk messages. We may investigate, suspend accounts, disable features, or remove content that we reasonably believe violates these Terms or creates risk. 7. YOUR CONTENT AND INTELLECTUAL PROPERTY You retain ownership of content you submit (payment proofs, affiliate creative, profile details, and similar). You grant Joesons a worldwide, non-exclusive license to host, process, display, and transmit that content solely to operate, secure, and improve the Service and to fulfill orders and programs you use. Joesons, the Joesons name and marks, and the software, design, and documentation of the Service are owned by us or our licensors. You receive a limited, revocable, non-transferable right to use the Service as offered, not a sale of software. 8. THIRD-PARTY SERVICES The Service may rely on third parties, including application hosting providers, Google sign-in, payment processors, storage providers, email delivery, and hosting. Their terms and privacy policies apply to their processing. We are not responsible for outages, declines, or acts of third parties beyond our reasonable control. 9. PRIVACY Our Member Privacy Policy explains how we collect and use personal data for members and creators. You accept that policy together with these Terms. 10. AVAILABILITY AND CHANGES We aim for reliable operation but do not warrant uninterrupted or error-free Service. We may modify features, APIs, or limits, perform maintenance, or discontinue parts of the Service with reasonable notice when practicable. 11. DISCLAIMERS TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOESONS IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT LISTINGS ARE ACCURATE, THAT ORDERS WILL BE FULFILLED, THAT COMMISSIONS WILL BE PAID, OR THAT PAYMENT PROOFS OR QR TRANSFERS ARE GENUINE. Nothing in these Terms limits rights that cannot be waived under Philippine consumer or data-protection law. 12. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW: - we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost sales, lost data, or business interruption; - our total liability arising out of the Service to you as a member in any twelve-month period is limited to PHP 10,000, or the amount you paid us for goods in that period if higher where required by law. These limits do not apply to liability that cannot be limited by law, or to our fraud or willful misconduct. 13. INDEMNITY You will defend and indemnify Joesons and its personnel against claims, damages, and reasonable legal fees arising from your use of Joesons, your content, your affiliate promotions, or your breach of these Terms. 14. SUSPENSION AND TERMINATION You may stop using Joesons at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service. After termination, outstanding order obligations and creator payouts remain due. We may retain records as described in the Member Privacy Policy and as required for legal, tax, and security purposes. 15. CHANGES TO THESE TERMS We may update these Terms. The version and effective date will appear in the Service. Members will be asked to review and accept the current version before continuing in the app when material changes require acceptance. If you do not agree, you must stop using the Service. 16. GOVERNING LAW AND DISPUTES These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Courts of competent jurisdiction in the Philippines shall have exclusive jurisdiction, unless applicable law requires otherwise. 17. GENERAL If a provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale of the Service. These Terms and the Member Privacy Policy are the entire agreement between you and us regarding your use of the Joesons mobile application as a member or creator. 18.
